By accessing or using our website, platform, or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Acceptance of Terms

By creating an account, subscribing to a plan, purchasing a service, or otherwise using Rhazi.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Rhazi.ai provides AI-powered automation services for businesses, including:

Automation Services: Custom AI workflow automation for outreach, marketing, research, and operations, delivered through managed subscription plans.
Client Dashboard: A web-based portal for monitoring automations, managing tasks, reviewing content, and tracking performance metrics.
Agent-Ready Score: A website analysis tool that evaluates how well a site is optimized for AI agents, available as a free scan with optional paid optimization services.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration

To access certain features, you must create an account through our authentication provider (Clerk). You agree to:

Maintain the security of your account credentials
Promptly notify us of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Terms

4.1 Plans and Pricing

Rhazi.ai offers tiered subscription plans (Starter, Growth, and Enterprise) with setup fees and monthly recurring charges. Current pricing is listed on our website and may be updated from time to time. We will provide at least 30 days notice before any price changes take effect on your existing subscription.

4.2 Billing

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for maintaining valid payment information.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will receive a pro-rated refund for the remaining unused days in your current billing period. Setup fees are non-refundable once onboarding has commenced. See our Refund Policy for full details.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will not receive a separate renewal notice before each billing cycle.

5. Score Service Terms

The Agent-Ready Score tool provides a free website analysis. Optional paid services (Quick Fix and Full Optimization) are one-time purchases processed through Stripe.

Paid score services are refundable within 14 days if work has not yet commenced.
Once optimization work begins, the purchase is non-refundable.
Delivery timelines are estimates and may vary based on scope.

6. AI Service Disclaimers

Our services utilize artificial intelligence, including large language models. You acknowledge and agree that:

AI-generated outputs may contain errors, inaccuracies, or omissions. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
AI outputs are provided as tools to assist your business operations and are not intended as professional advice. They do not constitute legal, financial, medical, tax, or other professional counsel.
You are solely responsible for reviewing, verifying, and approving all AI-generated content before it is published, sent, or acted upon.
AI capabilities and performance may change over time as underlying models and technologies evolve.
We do not guarantee specific business outcomes, revenue increases, or performance improvements from the use of our services.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content, data, and materials you provide to us ("Your Content"). By using our services, you grant us a limited license to process Your Content solely for the purpose of delivering our services to you.

7.2 AI Outputs

Content generated by our AI systems on your behalf ("Outputs") is licensed to you for your business use. You acknowledge that AI-generated content may not be eligible for copyright protection under current law and that similar outputs may be generated for other users.

7.3 Our Platform

Rhazi.ai, including our platform, tools, methodologies, workflows, system prompts, and proprietary processes, remains the exclusive intellectual property of Thought Continua LLC. Nothing in these Terms grants you any rights to our platform beyond the license to use our services as described herein.

8. Acceptable Use

Your use of Rhazi.ai is subject to our Acceptable Use Policy. In summary, you may not use our services for any illegal, harmful, or unauthorized purpose. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

Our total aggregate liability to you for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether we have been advised of the possibility of such damages.
We are not liable for any damages arising from AI-generated outputs, including but not limited to inaccuracies, errors, or content that infringes third-party rights.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thought Continua LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Your use of our services
Your violation of these Terms
Your use or distribution of AI-generated outputs
Your violation of any applicable law or third-party rights

We agree to indemnify you against claims that our platform (excluding AI outputs) infringes a valid third-party patent, copyright, or trademark, provided you promptly notify us and allow us to control the defense.

11. Dispute Resolution

11.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California. The arbitration shall be conducted by a single arbitrator in accordance with JAMS Streamlined Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.

11.2 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims eligible for small claims court may be brought in small claims court in Los Angeles County, California.

11.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action.

11.4 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

12. Termination

Either party may terminate the service relationship with 30 days written notice. We may terminate or suspend your account immediately if you violate these Terms.

Upon termination:

Your access to the dashboard and services will be revoked.
You will have 30 days to request an export of your data. After this period, we may delete your data in accordance with our Privacy Policy.
Any outstanding fees remain due and payable.
Provisions that by their nature should survive termination will remain in effect.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For active subscribers, we will also send notice via email. Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms.
